$25m deal gives UK messaging specialist all the Nokia tech plus ten North American operator contracts.
Nokia's white label messaging technology gives operators the ability to host email and IM services like MSN Hotmail, Yahoo! Mail, AOLand MSN Messenger via a single client.
It's a big deal for Synchronica, whose own Mobile Gateway suite powers push email, instant messaging, and social networking services.
However, Synchronica is mostly focused on emerging markets, and has more than 80 carrier contracts in Europe, Latin America, Africa, Russia and Asia.
Adding Nokia's customers will give Synchronica an 'in' into the US and an addressable market of 1.8 billion end-users.
The North American carrier contracts include AT&T, Bell Canada, Rogers Wireless, Sprint Nextel, T-Mobile USA and Verizon Wireless, and deliver more than 6m users.

Synchronica will also provide and maintain the messaging software for Series 40 phones. Approximately 250 employees, externals and contractors are planned to transfer from Nokia to Synchronica.

"Nokia¹s successful and highly complementary messaging business will at a stroke transform Synchronica¹s scale, profitability and geographic scope."
To fund the acquisition, Synchronica is raising $15m through a share placing, which is judged a reverse takeover under AIM rules.
